Registered Agent Services Agreement & Consent

This Registered Agent Service Agreement ("Agreement") is entered into by and between Entity Edge Business Services, LLC ("Entity Edge"), a Texas limited liability company ("Service Provider"), and the undersigned entity or entities listed in Appendix A ("Client").

1. Scope of Registered Agent Services

Entity Edge agrees to provide registered agent services for the Client in the jurisdiction(s) listed in Appendix A, in accordance with applicable state laws. These services include:

• Maintaining a registered office and registered agent as required by law;
• Receiving service of process, legal correspondence, and official government notices on behalf of the Client;
• Promptly forwarding such documents to the Client's designated contact; and
• Monitoring ongoing registered agent compliance requirements applicable to the Client.

Entity Edge may perform these services directly or through qualified third-party registered agent providers and shall remain the primary point of contact for the Client.

2. Appointment and Acceptance

The Client hereby appoints Entity Edge as its registered agent in the jurisdiction(s) listed in Appendix A. Entity Edge accepts such appointment and agrees to perform the duties of a registered agent as required under applicable law.

3. Client Responsibilities

To ensure effective registered agent coverage, the Client agrees to:

• Maintain accurate, current contact information at all times;
• Respond promptly to communications requiring action or acknowledgment;
• Ensure timely payment of registered agent fees; and
• File a change of registered agent promptly if services are terminated.

Failure to meet these responsibilities may result in service disruption or regulatory consequences outside of Entity Edge's control.

4. Use of Registered Agent Address and Mail Handling Limitations

The Client acknowledges and agrees that the registered agent address and mailbox maintained by Entity Edge are provided solely for the receipt of service of process, official government correspondence, and state-issued compliance notices related to the Client's entity.

The registered agent address may not be used as a general business mailing address and is not intended for routine, operational, personal, marketing, banking, or commercial mail.

As a courtesy, Entity Edge will accept and forward up to three (3) pieces of non-compliance, operational mail per calendar year for the Client. Any operational mail received beyond this allowance will be subject to an additional handling fee of Twenty Dollars ($20.00) per item, which the Client authorizes Entity Edge to charge to the payment method on file.

Entity Edge reserves the right to refuse, return, discard, or otherwise handle mail that is excessive, inappropriate, or inconsistent with the purpose of registered agent services. Continued misuse of the registered agent address may require the Client to update its business address or take corrective action to prevent further misuse.

Repeated or material misuse of the registered agent address may result in additional fees or termination of registered agent services in accordance with this Agreement.

5. Fees and Pricing

Registered agent service fees are jurisdiction-specific and set forth in Appendix A. Failure to timely pay registered agent fees may result in suspension or termination of services and resignation of Entity Edge as registered agent in accordance with applicable law.

Registered agent fees:

• Are billed annually, per entity, per jurisdiction;
• Are due in full prior to service initiation or renewal; and
• Secure registered agent coverage for a fixed 12-month service term.

Because registered agent appointments are filed with the applicable state for a defined term and cannot be prorated once accepted, all registered agent service fees are non-refundable once the service term has commenced, regardless of whether the Client later changes agents, dissolves, or withdraws from the jurisdiction.

Entity Edge reserves the right to adjust registered agent pricing upon thirty (30) days' written notice. Continued use of services after the notice period constitutes acceptance of the updated pricing.

6. Term and Termination

6.1 Term

This Agreement becomes effective upon execution and remains in effect unless terminated in accordance with this Section.

6.2 Termination by Client

The Client may terminate registered agent services by:

• Filing a change of registered agent with the appropriate Secretary of State; and
• Providing written confirmation to Entity Edge that a replacement agent has been appointed.

Termination does not entitle the Client to a refund of prepaid fees.

6.3 Termination by Entity Edge

Entity Edge may terminate registered agent services for the Client if:

• Registered agent fees, renewal fees, or related charges remain unpaid beyond the applicable due date;
• The Client engages in unlawful activity;
• The Client fails to maintain accurate or current contact information;
• The Client repeatedly misuses the registered agent address; or
• Continued service would expose Entity Edge to legal, regulatory, or operational risk.

In the event of termination for nonpayment, Entity Edge may resign as registered agent and shall do so in accordance with the notice, filing, and resignation procedures required by the applicable jurisdiction, including any statutory notice to the Client or filings with the Secretary of State or other governmental authority.

The Client acknowledges that failure to maintain an active registered agent may result in administrative penalties, loss of Good Standing, or dissolution imposed by the jurisdiction, and that such consequences are outside of Entity Edge's control.

7. Limitation of Liability

Entity Edge will perform registered agent services in a commercially reasonable manner consistent with industry standards.

To the fullest extent permitted by law, Entity Edge shall not be liable for delays, missed deadlines, penalties, or adverse consequences arising from:

• The Client's failure to maintain accurate contact information;
• The Client's failure to appoint a successor registered agent;
• Governmental processing delays or errors; or
• Acts or omissions of third-party providers engaged in accordance with this Agreement.

In no event shall Entity Edge be liable for indirect, incidental, special, or consequential damages.

8. Refund Policy

Registered agent service fees are prepaid and non-refundable once the service term has commenced. Payment of the annual fee secures registered agent coverage for the full service term, regardless of whether:

• The Client changes registered agents mid-term;
• The Client dissolves or withdraws from the jurisdiction; or
• Services are terminated by either party.

Partial-year refunds or prorated credits are not available under any circumstances.

9. Survival

The provisions relating to fees, mailbox use limitations, limitation of liability, and Client responsibilities shall survive termination of this Agreement.

Consent of Registered Agent

Entity Edge hereby consents to serve as the registered agent for the Client in the jurisdiction(s) listed in Appendix A.
